General terms and conditions Bos en Fauna B.V.

Bos en Fauna B.V. is a private limited company under holding company and focuses on the following business lines under various trade names: training, sale of preparation materials and preparation workshop. We have drawn up specific conditions in addition to general conditions for these 3 lines of business.

A. General terms and conditions

Article A1. Definitions

The following terms have the following meanings in these general terms and conditions:

Entrepreneur: the legal person acting in the context of its trade, business, craft or profession, with the following identity:

Bos en Fauna B.V., also trading under the trade names Bos en Fauna, Leren Prepareren, Prepareerwinkel and Taxidermy-world, and further to be referred to as B&F.

Contractor: equals Entrepreneur, and further to be referred to as B&F

Client: the natural person or legal entity with whom B&F has entered into an agreement and on the basis of which B&F performs work and/or supplies services and/or goods.

Consumer: the buyer or client, being a natural person, not acting in the exercise of a profession or business.

Course participant: the natural person who follows or has followed a course organised by B&F.

Course: a course, training, education, workshop or master class.

Parties: B&F and the client, consumer and/or course participant.

Agreement: a (digital) written agreement concluded between B&F and the client to perform work and/or supply or provide a service or course.

Purchase agreement: the formation of an agreement whereby B&F undertakes to supply an item and the client, consumer and/or course participant undertakes to pay a purchase price for this item.

Distance purchase: a purchase agreement concluded between B&F and the client, consumer and/or course participant within the framework of an organised system for distance selling or service provision without the simultaneous personal presence of B&F and the client, consumer and/or course participant, and where only one or more means of distance communication is used.

Offer: the products, goods, services, or digital content or service that B&F offers for sale to the client, consumer and/or course participant.

Purchase: the product, item, service, or digital content or digital service purchased by the client, consumer and/or course participant from B&F by means of the purchase agreement.

Quotation: a written offer by B&F concerning the supply or provision of a service and/or an item.

Order form: a (standard) form to be completed by B&F and signed for approval by the client, indicating the scope of delivery or content of the order to prepare, as well as the agreed price and delivery date.

Day: calendar day

Right of withdrawal: the right for the customer, consumer and/or course participant to dissolve the purchase agreement within the cooling-off period.

Grace period: the period within which the customer, consumer and/or course participant has the right of withdrawal.

Preparation: the service to preserve (parts of) a dead animal.

Preparation: a preserved animal product.

Animal/animals: all animal species including bird species.

Animal material: a (part of a) dead animal.

Article A2. General

These general conditions apply to all agreements between B&F and client(s), consumer(s) and course participant(s). These general conditions are published via B&F's website(s) and webshop(s) and are therefore always available for perusal.

Article A3. Offer

1. The offer made is without obligation, unless it contains a deadline for acceptance.
2. If, after the conclusion of the agreement, costs arise due to changes caused by the client, these costs shall be borne entirely by the client.
3. Commitments and/or agreements by third parties must always be recorded in writing.

Article A4. Retention of title

All items delivered by B&F under an agreement shall remain the property of B&F until all amounts due have been paid in full. An exception to this is animal material provided by the client to B&F for the preparation of such animal material.

Article A5. Delivery period and Force Majeure

1. Delivery periods indicated by B&F shall serve only as an indication and shall not be regarded as strict deadlines, unless explicitly agreed otherwise. B&F shall not be liable for damages due to late delivery until after written notice of default by the client, consumer or course participant.
2. Force majeure shall exist if B&F is unable to fulfil its obligations within the agreed period as a result of causes beyond its control or risk.

Article A6. Complaints and liability

1. Complaints by or on behalf of a legal entity must be submitted to B&F in writing within 14 days of delivery of goods, services and/or preparations, on forfeit of the right to invoke the fact that the delivered goods do not comply with the contract. Complaints by a consumer must be submitted to B&F within 2 months of the discovery of the defect by the consumer.
2. B&F must be given the opportunity to check the complaints submitted.
3. Complaints or claims by the non-consumer client shall not entitle it to suspend payment or to offset counterclaims against amounts owed to B&F.
4. B&F is entitled to adjust the delivery of the service and/or goods as agreed or not to perform them in case of obvious negligence on the part of the client. This expressly but not exclusively includes the failure to provide (on time) documents (copies of) proving the legal possession of the dead animal or parts thereof, if applicable. All resulting costs will be charged by B&F. The client shall pay these costs within 30 days of the invoice date.
5. B&F is not liable to the client or course participant for damage and/or costs, by whatever name and whatever the cause, unless the damage and/or costs result from deliberate intent or gross negligence on the part of B&F. B&F is not liable for loss and/or costs caused by the operations and/or shortcomings of third parties used by B&F in executing the contract, nor if the loss and/or costs result from deliberate intent or gross negligence on the part of these third parties. Under no circumstances shall B&F be liable for consequential loss, trading loss and loss resulting from a delay in delivery. The client or course participant shall indemnify B&F against all successful claims by third parties regarding services and/or goods supplied by B&F, as a result of which those third parties may have suffered loss, irrespective of the cause or time at which that loss was suffered.
6. B&F shall never be liable for loss resulting from incorrect, injudicious or unlawful use of the goods delivered and other acts that are at the risk of the client.
7. Under no circumstances shall B&F be liable for consequential loss, trading loss and loss resulting from exceeding the delivery period.
8. Compensation shall at all times be limited to the maximum of the fee charged by B&F to the client for services and/or goods delivered.
9. B&F's liability towards the client or course participant or any other (legal) person for financial loss, including but not limited to consequential loss, loss of profit, lost savings and/or loss due to business interruption, is excluded.
10. Any right to compensation will in any case lapse if the client has not taken measures immediately after the occurrence of the damage to limit the damage, or to prevent more or other damage, and has not informed B&F as soon as reasonably possible of all relevant information.
11. The client, consumer and/or course participant shall not be free to return products and/or services provided to B&F before B&F has agreed to this.

Article A7. Cooperation by client

1. Client realises that proper execution of the order requires an investment by all parties involved regarding time, money and energy. Partly for this reason, the client shall cooperate as much as possible in performing the agreement entered into with B&F. The client shall always provide B&F with all useful information in good time and shall guarantee its accuracy.
2. If the information required from the client for the execution of an agreement is not made available to B&F on time or in accordance with agreements, this may lead to suspension of B&F's fulfilment of its obligations and extra costs may be charged to the client.
3. If B&F performs the agreed service(s) in/at a space/location made available by the client, and/or where delivered products are located, the client must bring this space/location into conformity with the requirements that B&F may attach to it.

Article A8. Applicable law and disputes

Any agreement between the parties shall be governed by Dutch law.

 

B. Conditions for training (courses)

Article B1. Applicability

1. These specific additional conditions for training courses apply to all (distance) agreements concluded between B&F and the client or course participant via B&F's website(s) and/or other (digital) means of communication. The conditions under articles A1 to A8 remain fully applicable.

Article B2. Price of training courses

1. All prices quoted by B&F are exclusive of VAT, unless explicitly stated otherwise. Prices for courses mentioned on the B&F website are stated both exclusive of and inclusive of Dutch VAT.
2. Prices for courses are fixed during the pre-agreed period.
3. Travel and accommodation expenses are not included in the price. These are -if applicable- mentioned separately in the offer.
4. Registration fee for a course is always a fee for the entire course. Term payments are never linked to parts of a course.

Article B3. Training agreement

1. A (digital) course registration form completed and signed by the course participant constitutes an agreement to deliver or take the relevant course.
2. The agreement referred to in paragraph 1 of this article may be cancelled unilaterally by B&F if insufficient applications for participation in the course in question have been received by B&F.

Article B4. Changes in training courses by B&F

B&F is entitled to unilaterally make organisational and/or content-related changes to a course offered at any time.

Article B5. Payment of training courses

1. Payment must be made within 30 days of the invoice date, unless otherwise agreed in writing.
   In the event of no or late payment, the client shall owe statutory interest on the outstanding amount including VAT from 30 days after the invoice date. Any collection costs for late payment shall be borne by the client.
2. Immediately after registration for a B&F course, for which the registration fee is € 500.00 including VAT or more, the course participant or client will receive a down payment invoice equal to 20% of the quoted sum. This down payment covers B&F's costs for administration, invoicing and reservation of items for the relevant course, among other things.
3. For courses for which the registration fee is less than € 500.00 including VAT, no separate down-payment invoice will be sent. Nevertheless, 20% of the quoted sum consists of a down payment.
   The registration fee for a B&F course, less the amount of any previously invoiced down payment invoice, will be invoiced approximately 6 weeks before the start of the course. If agreed in advance, this may be in instalments.
4. If a course participant registers for a course of B&F within 6 weeks before the start of that particular course, the amount due including the down payment will be invoiced in one go, whether or not in a number of previously agreed instalments.
5. If the registration fee is paid in instalments, if no separate down payment invoice is sent, the down payment will be set off against the first instalment invoice(s).

Article B6. Cancellation of courses

1. In case of cancellation by the client or course participant up to 2 weeks (15 days or earlier) before the start of a service or course by B&F, the client and/or course participant shall only owe the amount of the down payment.
2. If cancelled by the client or course participant 2 weeks (14 days) before the start of a service or course of B&F, but earlier than 3 days before the start of the service, the client and/or course participant shall owe 50% of the total agreed amount for administration and preparation costs.
3. If cancellation takes place 3 days or less before the start of a B&F service or course, the client and/or course participant shall owe the full agreed amount.

Article B7. Termination of training courses

1. The agreement shall be terminated by operation of law if the client and/or course participant is declared bankrupt or if the client and/or course participant is granted a moratorium (provisional or otherwise).
2. Premature termination of a course by the customer and/or course participant does not release them from the payment obligation for any outstanding (instalment) payments.

Article B8. Confidentiality of training courses

Client or course participant undertakes to treat the content and application of advice as strictly confidential at all times, unless otherwise agreed.

Article B9. Property rights training courses

1. Course material and/or documentation provided may not be reproduced and/or made public by means of print, photocopy, microfilm, placement on the internet or in any other way whatsoever without prior written permission from B&F. The client is not allowed to remove or make unrecognisable any indication of B&F's property rights.
2. For any act contrary to this article, the client shall owe a penalty of €5,000.00.

 

C. Conditions of sale of goods

Article C1. Applicability

1. These specific additional conditions for the sale of goods apply to all distance purchase agreements concluded between B&F and the client, consumer and/or course participant via webshop(s) and/or other (digital) means of communication. The conditions under articles A1 to A8 remain fully applicable.

Article C2. Purchase agreement

1. The purchase agreement, whether or not at a distance, shall be concluded through an offer by B&F and acceptance of this offer by the client, consumer and/or course participant.
2. The offer will be fully and truthfully described by B&F, including the corresponding conditions.
3. B&F shall inform the client, consumer and/or course participant of the rights and obligations attached to acceptance of the offer.
4. B&F shall state clearly and legibly at the time of the offer, and at the latest at the beginning of the ordering process, whether delivery restrictions apply and which means of payment are accepted.
5. When concluding the purchase agreement, B&F shall provide the client, consumer and/or course participant with the following information in a clear and comprehensible manner:

a) the identity, postal and visiting address, telephone number and e-mail address of B&F;

b) the main characteristics of the purchase

c) the price of the purchase including all taxes and any delivery costs

d) the method of payment, delivery and fulfilment, and the corresponding deadlines and any charges;

e) B&F's complaint handling policy;

f) if the client, consumer and/or course participant has the right of withdrawal, the conditions, term and modalities for exercising that right, as far as applicable the way of returning the purchase, and as far as applicable the reimbursement of costs, as well as the model withdrawal form

g) where the consumer does not have a right of withdrawal, the information that the consumer does not have a right of withdrawal or, where applicable, the circumstances under which the principal, consumer and/or course participant waives his right of withdrawal

h) a reminder of the existence of the legal guarantee that the purchase must comply with the contract, and any assistance to the consumer after purchase.

Article C3. Right of withdrawal

1. The client, consumer and/or course participant has 14 days from the conclusion of the purchase agreement to revoke the purchase agreement without giving reasons.
2. The reflection period starts the day after the client, consumer and/or course participant has received the purchase. In case of dispatch by a postal/parcel service, the day of receipt is determined by the date as shown with the relevant Track&Trace code for that purchase.
3. If the purchase consists of several products, the cooling-off period commences on the day after the client, consumer and/or course participant has received the last product.
4. If the purchase consists of multiple shipments, the cooling-off period commences on the day after the client, consumer and/or course participant has received the last shipment.
5. The above shall remain unaffected if the product is received by a third party designated by the client, consumer and/or course participant.
6. For cancellation, the client, consumer and/or course participant may use the cancellation form provided by B&F, or any other unequivocal statement to that effect to B&F.
7. If the requirements set out in Article C2, paragraph 5 under f are not met, the reflection period referred to in paragraph 1 of this Article will be extended by the time that has elapsed from the moment the reflection period started, until the moment when all missing information has been provided to the client, consumer and/or course participant in the prescribed manner, with a maximum extension of 12 months.
8. The right of withdrawal does not apply in the following cases, provided that B&F has clearly indicated to the client, consumer and/or course participant prior to the conclusion of the purchase agreement that the right of withdrawal is excluded:

a) purchase agreements for which the price of the purchase is linked to fluctuations in the financial market over which B&F has no influence and which may occur within the cancellation period (for example, for products to be purchased by B&F in currencies other than the Euro);

b) purchase agreements for the delivery of products manufactured on the basis of the choice of the client, consumer and/or course participant, or clearly intended for the specific client, consumer and/or course participant (e.g. items for animal species that do not occur naturally in the Netherlands and/or are only manufactured by the manufacturer after being ordered by B&F, such as PU moulds)

c) purchase agreements to supply products that spoil quickly or have a limited shelf life (e.g. animal training material for preparation);

d) purchase contracts for the delivery of products that cannot be returned for reasons of health, safety or hygiene and whose seals affixed by B&F or its suppliers have been broken after delivery (e.g. tanning agents and other chemical (liquid) substances)

e) purchase agreements for the delivery of products which, after delivery, are by their nature irrevocably mixed with other items (e.g. opened apoxies and polyurethanes).

Article C4. Dissolution

1. If the client, consumer and/or course participant has a right of withdrawal, exercises this right within the reflection period, and has informed B&F of this by means of the model withdrawal form provided by B&F, or another unequivocal statement to this effect, the purchase agreement between the parties shall be dissolved.
2. By cancelling the purchase agreement, all additional agreements will be cancelled by operation of law.
3. After dissolution, B&F shall immediately, but within 14 days of receipt of the information referred to in paragraph 1 of this article, reimburse all payments received from the client, consumer and/or course participant, including delivery costs in proportion to the part of the agreement that is dissolved, with due observance of Article C7 paragraph 6, using the same payment method as was used by the client, consumer and/or course participant to pay for the purchase, unless the client, consumer and/or course participant has expressly agreed to a different payment method free of charge.
4. If, when concluding the purchase agreement, the client, consumer and/or course participant has opted for a delivery other than the cheapest delivery chosen by B&F, B&F is not obliged to reimburse the additional costs for this method of delivery.
5. If the purchase has already been delivered or sent for delivery, the client, consumer and/or course participant shall, after dissolution, immediately return the purchase in good condition or hand it over to the entrepreneur or to a person designated by the entrepreneur, but within 14 days after the notification referred to in paragraph 1 of this article, unless the nature of the purchase requires the entrepreneur to collect it.
6. Unless it has been agreed that the entrepreneur will come and collect the purchase, the client, consumer and/or course participant can only claim fulfilment of the reimbursement mentioned in the previous paragraph when the entrepreneur has received the purchase, or the consumer provides proof of the return of the purchase to, and receipt by, the entrepreneur.
7. The costs of returning the purchase shall be borne by the client, consumer and/or course participant, unless the entrepreneur has failed to inform the client, consumer and/or course participant that these costs shall be borne by him.
8. The client, consumer and/or course participant is only liable for depreciation of the purchase if he has used the purchase more or differently than necessary than to establish the nature, characteristics and/or functioning of the purchase. The consumer is not liable for depreciation if the entrepreneur has not provided the information in accordance with Article C2 paragraph 5 under f.

Article C5. Price sale of goods

1. During the validity period stated in the offer, the prices of the products on offer will not be increased, except for price changes due to changes in VAT rates.
2. Contrary to the previous paragraph, B&F may offer products whose prices are linked to fluctuations in the financial market and on which B&F has no influence, at variable prices. This link to fluctuations and the fact that any prices mentioned are target prices shall be mentioned in the offer.
3. Price increases within 3 months of the conclusion of the agreement are only allowed if they result from statutory regulations or provisions.
4. Price increases from 3 months after the conclusion of the agreement are only allowed if the entrepreneur has stipulated them and:

a) they are the result of legal regulations or stipulations; or

b) the client, consumer and/or course participant has the authority to cancel the agreement as of the day on which the price increase takes effect.

5. The prices mentioned in the offer of products, as well as on price stickers on the products, include VAT.

6. All prices are subject to printing and typesetting errors. B&F accepts no liability for the consequences of printing and typesetting errors. In case of printing and typesetting errors, B&F shall not be obliged to supply the product according to the incorrect price.

Article C6. Payment

1. Payment by the client, consumer and/or course participant for items or products ordered via the webshop(s) or purchased physically in B&F's shop(s) or sales stand(s), may be made, at the choice of the client, via the payment options offered by B&F in that (web) shop(s) or sales stand(s).
2. When entering into the (purchase) agreement, the entrepreneur is authorised to require a down payment from the client, consumer and/or course participant of no more than 50% of the purchase price.
3. Until the moment the down payment has been made by the client, consumer and/or course participant, he cannot assert any rights regarding the execution of the (purchase) agreement.
4. The part of the payment made afterwards must be paid by the customer, consumer and/or course participant within 7 days after the start of the reflection period, or in case no reflection period applies, immediately after the conclusion of the agreement.
5. If the client, consumer and/or course participant does not fulfil his payment obligation or does not do so on time, whereby the payment deadlines apply as strict deadlines, the client, consumer and/or course participant is legally in default. In the event that the client, consumer and/or course participant, after having been given another 14 days to complete payment, still fails to make payment, the client, consumer and/or course participant shall owe statutory interest on the outstanding amount and B&F may charge the extrajudicial collection costs it has incurred.
6. B&F may deviate from the legally determined amount of statutory interest and collection costs on the outstanding payment only to the benefit of the client, consumer and/or course participant.

Article C7. Delivery

1. B&F shall ensure delivery of the purchase in a careful manner, at the location indicated by the client, consumer and/or course participant as the delivery address.
2. The risk attached to delivery shall remain with B&F until the moment of delivery to the client, consumer and/or course participant or a third party designated by them, unless explicitly agreed otherwise.
3. The client, consumer and/or course participant must ensure timely delivery.
4. Delivery shall take place without delay, but within 30 days after the conclusion of the agreement, unless a different delivery time has been agreed and/or stated in the offer.
5. If the agreed delivery time is exceeded, the client, consumer and/or course participant is entitled to dissolve the agreement without costs.
6. In the event of dissolution in accordance with the previous paragraph, and the purchase price has already been paid in full or in part by the client, consumer and/or course participant, the entrepreneur shall refund the amount paid without delay. In the event that part of the purchase has already been delivered, only the purchase price already paid by the client, consumer and/or course participant for the items not yet delivered shall be refunded by B&F without delay.

Article C8. Guarantee

1. B&F shall ensure that each purchase meets the specifications of the offer, and the reasonable requirements for normal use.
2. Any seller's or manufacturer's guarantee provided by B&F to the client, consumer and/or course participant shall not affect the scope of the statutory guarantee.
3. The above guarantees shall not apply in case of normal wear and tear or damage caused by culpable inexpert use, or negligence in the maintenance of the purchase by the client, consumer and/or course participant.

Article C9. Complaints and disputes

1. B&F has a complaints handling procedure accessible to the client, consumer and/or course participant.
2. If the client, consumer and/or course participant has a complaint, this complaint must be made known to B&F immediately and clearly described.
3. B&F shall respond to complaints within 14 days, general holiday periods excluded.
4. In the event of an unresolvable complaint, it may be submitted to the competent court.

 

D. Conditions at preparation workshop

Article D1. Applicability

1. These specific additional conditions at the preparation studio apply to all agreements concluded between B&F and the client and/or consumer concerning preparation, treatment of a preparation or an animal. The conditions under articles A1 to A8 remain fully applicable.

Article D2. Preparation agreement

1. A preparation order form, order form or order form completed by B&F and signed by the client constitutes a preparation agreement. The amount mentioned on this form is the quotation accepted by the client. Unless stated otherwise, this amount includes VAT.

Article D3. Delivery time of preparations

Unless agreed otherwise and laid down in writing on the order form, the client is obliged to collect the preparation from B&F within three months of notification of completion.

Article D4. Changes to preparations by B&F

B&F is entitled unilaterally at any time to make organisational and/or substantive changes to the animal to be prepared or the preparation to be restored, but undertakes in the event of a substantial deviation from what has been agreed to first inform the client. In the event of a substantial deviation, the consumer then has the right to dissolve the agreement.

Article D5. Complaints and liability

1. Client is and remains the owner of the animal to be prepared and as such is responsible for the burden of proof regarding legal origin/possession of the animal, if applicable. In the event that during the preparation process it becomes apparent that the animal to be prepared is illegal, B&F is designated or (legally) obliged to report this to the competent authorities. Any ensuing costs and/or damage shall be borne by the client. The client shall indemnify B&F against any claim by third parties regarding the animal to be prepared, including its origin.
2. The Client acknowledges that the order involves treatment of perishable or perishable material and that the quality of the end result depends largely on the condition in which the animal or animal material is delivered to B&F. Because in most cases the animal or animal material is delivered to B&F frozen, B&F cannot sufficiently control the quality at that moment. A 100% guarantee of success can therefore never be given. Spoilage, whether partial or not, usually only comes to light when the preparation process is more or less advanced. If B&F discovers any deterioration, it shall notify the client immediately. If the client decides that B&F must nevertheless complete the order, the right to complain as mentioned in Article A6(1) shall lapse. In case B&F sees no chance to complete the order due to decay, B&F shall return the order. In this case, the client shall only owe B&F the agreed down payment in accordance with Article D6 paragraph 3, up to a maximum of €400.00 (including VAT). The Client shall indemnify B&F against any claim in the event of total or partial deterioration.
3. B&F shall never be liable for damage resulting from improper, injudicious or illegal use of the delivered goods and other acts that are at the risk of the client. This expressly, but not exclusively, includes damage to the supplied preparation caused by factors or circumstances in the environment or room in which the client places the preparation.

Article D6. Payment

1. Payment must be made within 30 days of the invoice date, unless agreed otherwise in writing.
2. In the event of no or late payment, the client shall owe statutory interest on the outstanding amount including VAT from 30 days after the invoice date. Any collection costs for late payment shall be borne by the client.
3. If the agreement concerns an order for preparation, the client shall owe a down payment of 50% of the quoted amount, to be paid on delivery of the animal to be prepared by the client to B&F. If the animal to be prepared is a pet, the down payment shall be 100% of the quoted amount. The down payment shall cover B&F's costs for e.g. (legally required) administration, skinning and tanning costs, costs of disposal of the carcass(es), freezing and storage costs and materials to be purchased in advance for the execution of the order.
4. Payment by the client, consumer and/or course participant of a preparation ordered via B&F's webshop(s) can, at the choice of the client, be made via the payment options offered by B&F in that (those) webshop(s).

Article D7. Cancellation

1. Client acknowledges that preparation is a process consisting of several non-consecutive phases. In case of cancellation of the agreement by the client, regardless of which stage the preparation is in, the client will owe (at least) the amount of the down payment.
2. Upon cancellation by the client, B&F will hand over the animal to be prepared or the (unfinished) preparation to the client as soon as reasonably possible.
3. Cancellation of purchased items (return or exchange) via the webshop(s) is subject to the legal conditions on 'distance selling', as well as the conditions for return set by B&F. These can be viewed in the relevant webshop(s).

Article D8. Termination

1. The agreement will be terminated by operation of law if the client is declared bankrupt or if the client is granted suspension of payment (provisional or otherwise).
2. The agreement shall be terminated by operation of law if, during the preparation, the animal to be prepared turns out to be illegal and/or is seized by the competent authorities.

Article D9. Confidentiality

Client undertakes to treat the contents and application of advice as strictly confidential at all times, unless otherwise agreed.

Article D10. Property rights

1. Subject to the provisions of Article D5(1), the client gives the animal to be prepared to B&F and any third parties from whom B&F obtains services, for processing. B&F is authorised to retain the preparation until payment of the agreed amount for the service of preparation has been made in full.
2. B&F shall retain the preparation for at least the period stipulated in Article D3. If the client fails to collect the preparation within the set/agreed period, this shall be regarded as cancellation of the order by the client. In order to obtain reimbursement of the preparation costs incurred, ownership of the preparation will, on expiry of the period specified in Article D3, pass to B&F, which may transfer the preparation to a third party at preparation cost as a so-called "retail daughter".
